OK, so we already know that nobody likes reading these, so we’re going to do our best to make this experience at least somewhat digestible for those of you dedicated individuals. First things first, thank you for taking the time to read through our policy for more clarity. As with anything on our website, feel free to reach out if you have any questions.

These Terms and Conditions apply to this website, any services offered through it, and any other online holdings managed, controlled, operated, or developed by US Rock Corporation (collectively, the “Site”). Throughout these Terms, “US Rock,” “usrock.com,” “this awesome company,” “The New Kings and Queens of Rock,” “us,” “we,” and “our” all mean US Rock Corporation. If that got confusing, here’s the short version: anything you see or use online with our logo or name anywhere near it is part of the Site and subject to these Terms.

And now for our spooky and ominous warning…
The following Terms and Conditions (the “Terms”) explain the rules for using the Site. By visiting this website or any other part of the Site, you acknowledge that you have read, understood, and agree to all of these Terms, without qualification or limitation. In other words, you have to accept them as written, got it?!

The good news is that if these rules are too heavy for you, you don’t have to use the Site (that’s your out, courtesy of “us”). We would never want to force anyone into terms they can’t stomach. But if you do use the Site, you gotsta play by the rules. We may update these Terms at any time, and when we do, we’ll change the “Last Update” date at the top of the page so you can keep track. If you keep using the Site after an update, you’re agreeing to the revised Terms.

About US Rock Corporation

US Rock Corporation specializes in supplying decorative rock, organic ground covers, and landscape materials and supplies (collectively, the “Products”). Our bulk materials, such as rock, gravel, sand, soil, and mulch, are sold in whole cubic yards and delivered loose, with orders starting at 5 cubic yards (135 cubic feet). Other Products, such as turf, fertilizers, and landscape supplies, may be sold in bags, rolls, boxes, or other units. We also provide design and consulting services (collectively, the “Services”) for drought-tolerant landscape projects. We are the New Kings & Queens of Rock, and our goal is to save you time and money by giving you the amazingly awesome option to buy in bulk.

Digital Communication

Each time you visit the Site or send us an email, you’re communicating with us electronically (incredible, isn’t it?). By doing so, you consent to receive communications from us electronically as well. We may contact you by email, by text message, or by posting notices on the Site. By providing your phone number, you consent to receive text messages from us about your order, including delivery notifications, standby notices, and requests to authorize unloading. You agree that any agreements, notices, disclosures, or other communications we provide electronically satisfy any legal requirement that they be in writing.

Intended Audience

This Site is intended for adults only and is not intended for anyone under the age of 18. By using this Site, you certify that you (a) are at least eighteen (18) years of age, and (b) if you are acting on behalf of any person or entity, you are authorized to act on behalf of that party. If you are under 18, please do not use or access the Site at any time or in any manner. And if you’re under 18 and reading this, holy crap, we applaud you. No one at our company would’ve made it this far at your age! A very bright future ahead of you, we’re guessing, but seriously, go outside and play, do your homework, or whatever else you’re supposed to be doing, ok?

Patents, Copyrights, & Intellectual Property

US Rock Corporation WILL smack down any AI, human, or other entity that violates our physical or intellectual property rights! All content on the Site, including without limitation graphics, designs, icons, illustrations, pictures, photographs, video clips, written materials, and processes, as well as the layout, construction, and compilation of the Site, is the exclusive property of US Rock Corporation and is protected by United States and international copyright laws. All trademarks, service marks, and trade names that appear on the Site, along with the overall “look and feel” of the Site (collectively, the “Marks”), are also exclusively proprietary to US Rock Corporation or their respective owners. You may not duplicate, reproduce, display, or otherwise use the content or materials on the Site, including the Marks, without prior written authorization from our legal department for each specific use. And please don’t even think about removing or modifying any legal or trademark notices on our content. Dragging and dropping, data scraping, web harvesting, hacking, or using any other automated or manual means to take our content without our prior written consent is expressly prohibited, seriously. Any unauthorized use of content or materials on the Site violates copyright, trademark, and other intellectual property laws, as well as privacy, publicity, and communications laws. Any goodwill generated by use of our Marks must always benefit US Rock Corporation and/or its partners. To request authorization to use any content or materials on the Site, contact us at legal@usrock.com.

In addition to our own intellectual property, US Rock Corporation respects the hard work, sweat, and tears others have put into protecting their patents, copyrights, and intellectual property. We’ve developed a simple way to sort out potential conflicts before they escalate into bigger problems. If you believe our company has compromised your intellectual property in any way, please let us know immediately. We review every claim of potential copyright infringement, and if we determine that any of our content violates applicable law, we will remove it.
To report suspected copyright infringement, email legal@usrock.com and help us identify the material, content, or work you believe is infringing by including the following:

• Your contact details, including email address
• A description of the copyrighted work and the URL where it appears
• A statement that you have a good faith belief that our use of the work is not authorized
• A statement, made under penalty of perjury, that the information in the notice is accurate and that you are the registered copyright owner or an authorized agent entitled to act on the owner’s behalf
• An accompanying electronic or physical signature of the copyright owner or a person authorized to act on their behalf

User Accounts and Related Data

We offer visitors the option to create a user account (“Account”) to make frequent visits easier, with streamlined ordering and delivery tracking, saved shipping and billing information, and access to special offers and events. You can still use many features of the Site without an Account, and you’re in no way required to create one, but we thought it would make your life easier. If you create an Account, you are solely responsible for all activity that occurs through it. So we can give you the best possible service, you agree to give us complete, accurate, and current information for your Account at all times. We are not responsible for errors or delays caused by incorrect or outdated information. Please don’t share your Account information, and never use another person’s Account or registration information without permission. Likewise, no one else may use your Account without your permission. You are solely responsible for keeping your Account and password(s) secure and for any consequences of failing to do so.

If you no longer want an Account, you can delete it at any time by emailing us at support@usrock.com.

User Content and Use of Information

It’s always fun to see and hear what our fans have to say! From time to time, we may allow you to post reviews, comments, photos, or other content on the Site. We welcome and encourage your participation. However, with that comes responsibility (they made me say this). Whenever you submit, distribute, transmit, or post any communications or other material to US Rock Corporation, whether through the Site or through our pages on third-party sites such as Instagram, Facebook, Snapchat, or X (formerly Twitter) (collectively, “User Content”), you represent and warrant that (a) you hold all necessary rights, title, and license to the material (in other words, you own it or have the right to give it to us); (b) your submission to usrock.com does not and will not violate or infringe the rights of any third party, including privacy, publicity, copyright, trademark, contract, or other intellectual property or proprietary rights (you didn’t take it from someone else without permission); and (c) all User Content you provide is accurate, complete, current, and not misleading (you’re not lying).
You also give us a right and license to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute your User Content in any media format or distribution channel, including to provide, promote, and improve the Site. This license is irrevocable, non-exclusive, perpetual, worldwide, transferable, sub-licensable, fully paid, and royalty-free, and it survives termination of your Account. We may use User Content without compensation to you, including for advertising or promotional purposes. And please, let us be the first to say ‘thank you’ for being so awesome to us.
You also agree that if your User Content contains any ideas, concepts, know-how, or techniques, we may use the User Content and anything it contains for any purpose, including developing, manufacturing, and marketing products.
In addition to licensing your User Content to US Rock Corporation, you give each user of the Site an irrevocable, non-exclusive, perpetual, worldwide, transferable, sub-licensable, fully paid, and royalty-free license to access your User Content through the Site and to use, edit, modify, publish, reproduce, distribute, prepare derivative works of, display, perform, adapt, and promote it, even after your Account is terminated.

At the end of the day, if you share something with us, you keep ownership of it and can continue to do anything you want with it, but you also allow us and our other users to use your User Content as we see fit. If you don’t agree to these conditions, please don’t send us your materials.

US Rock Corporation reserves the right to block or remove communications, postings, or materials that it determines, in its sole discretion, to be (a) abusive, defamatory, or obscene; (b) fraudulent, deceptive, or misleading; (c) in violation of a copyright, trademark, patent, trade secret, or other intellectual property or rights of another; or (d) offensive or otherwise unacceptable.

Special Offers & Coupon/Offer Codes

From time to time, US Rock Corporation may offer qualified customers “coupon codes” or “offer codes” (collectively, “offer codes”) through various promotions and communications. Offer codes are redeemable toward a purchase on usrock.com while supplies last, and are subject to merchandise exclusions or other restrictions that US Rock determines and communicates in its sole discretion. Only valid offer codes provided or promoted by US Rock will be honored at checkout. Codes supplied or promoted by unauthorized third parties, including unauthorized third-party websites, are not valid. Each offer code is non-transferable and valid for a single use on the item or items US Rock designates. Offer codes cannot be combined, and each order is limited to one offer code. Offer codes cannot be applied to non-branded merchandise, packaging, or taxes. For online purchases, enter the code in the “coupon code” field at checkout. US Rock Corporation is not responsible for lost, stolen, or corrupted codes or for any unauthorized use of codes. Offer codes cannot be redeemed for cash or any cash equivalent, and no substitutions or credits are allowed. The dollar value of an offer code will not be refunded or credited if any or all of the merchandise is returned. Offer codes may expire, and are void if copied, transferred, sold, exchanged, or expired, or where prohibited by law. Requests that don’t comply with all offer code requirements will not be honored.

Spokespeople

From time to time, US Rock may engage spokespeople, rock legends, movie stars, titans of industry, influencers, bloggers, or other individuals or entities who may be compensated or incentivized to speak on behalf of the brand. If you receive an offer code from a third-party source, such as a television or radio show host, please note that they may have been compensated by US Rock for their statements.

Payments, Shipping, and Delivery

The prices displayed for Products on the Site are retail prices and do not include taxes, shipping, delivery, or handling charges, where applicable. Applicable taxes, shipping, delivery, and handling charges will be shown to you before you finalize an order. All prices are in U.S. dollars. Products in your shopping cart reflect the current price on the Product’s details page, which may differ from the price shown when you first added the Product to your cart.

Payment

By submitting an order through the Site, you agree to pay in advance the price of the Products ordered, plus any applicable taxes, shipping, delivery, handling, and other charges. Payment may be made by credit card or any other method we make available (each, a “Method of Payment”). To pay, you must provide valid credit card or other billing information and authorize us (or any third-party payment provider we engage) to charge your Method of Payment for all orders placed and accepted via the Site, and for any fees incurred under these Terms, such as standby and restocking fees.

Product Selection

Customers are responsible for confirming that the products and materials they order are suitable for their intended use. Recommendations from third-party websites, search engines, AI tools, contractors, or other outside sources are not recommendations made or guaranteed by US Rock Corporation. If you are unsure which material is appropriate for your project, please contact US Rock before placing your order.

Bulk Delivery

US Rock Corporation provides bulk delivery of loose materials in orders of 5 to 16 cubic yards per delivery (pallet and supersack orders have an 8-cubic-yard minimum), as well as bagged delivery and miscellaneous light order service, within approximately 325 miles of our Inglewood, California location. Orders over 16 cubic yards and recurring commercial needs are handled through our Commercial page. Addresses outside our delivery area will not receive a delivery price, so please check this section regularly for changes to our delivery area. All bulk orders placed on the Site are subject to a calculated “Delivery Charge” based on geographic zones and the volume of material ordered. For details on how delivery charges are calculated, email support@usrock.com.

Non-Bulk Delivery

Merchandise and smaller non-bulk products that are not shipped directly by US Rock Corporation may be shipped by national carriers and are subject to those carriers’ fees and terms and conditions. We will always tell you the shipping or delivery method and show the options we offer on the checkout page.

US Rock Corporation reserves the right to deliver only those Products it deems safe for transport to the requested job location. Please also note:

• Scheduling. The delivery date and time you select are preferred. US Rock confirms delivery dates and times based on availability and operating conditions, and will contact you if we can’t meet your preferred date. Once confirmed, your delivery will arrive on the scheduled day between the specified hours. Some materials are special order and may require additional lead time, which we will confirm with you.
• Delivery hours. Normal delivery hours are Monday through Saturday, 7am to 5pm. Sunday or extended hours can be scheduled upon availability and for additional fees.
• Delays. Drivers or dispatchers will contact you if there is a problem or delay with your scheduled delivery.
• Site access. Our standard delivery truck requires at least 13 feet of clear width and 18 feet of overhead clearance. Please notify us of potential hazards or obstacles on the delivery path (low-hanging power lines, new driveways, narrow gates or spaces, etc.). Under most circumstances, drivers are not permitted to dump or drive onto lawns or unpaved surfaces because of the weight of trucks and materials.
• Presence and authorization. You do not have to be present to accept delivery, but we prefer that you are. Because all dumps are final, being present lets you verify the material and confirm the drop location before we unload. If you will not be present, you must authorize unloading in advance: we will text you before unloading and will not unload until we receive your reply authorizing us to unload at the delivery location. Please also provide detailed drop instructions.
• Standby time. Your driver will text you on arrival. You have 30 minutes from that message to be ready for unloading. After 30 minutes, a standby fee of $80 per hour applies to all deliveries.
• Your responsibility after delivery. US Rock’s role is to deliver material to the drop point. You are responsible for having adequate equipment or help to move material to where it is needed. Driver assistance, if offered, is a courtesy and not an obligation. US Rock Corporation is not responsible for damage to driveways, parking lots, or similar surfaces caused by the delivery of bulk aggregates (decorative rock, sand and gravel, boulders and cobble, and decorative glass), organics (soil amendments, organic soils, mulches and barks), or landscape materials and supplies (artificial turf and supplies, erosion control products, fertilizers and soil conditioners, and stakes and edging materials) where the customer has specified a dump/drop location.
• All dumps are final. Once material has been unloaded, it cannot be moved, recovered, exchanged, or returned, and will not be reimbursed, including if more material was ordered than needed.
• Claims. Material should be verified before it is unloaded. Because all dumps are final, claims about the quantity or quality of material already unloaded cannot be accepted. If the wrong material was delivered because of a US Rock error, contact us within 24 hours of delivery and before the material is spread or landscaped.
• Cancellations and fees. Delivery fees are non-refundable once a truck has been dispatched. If a delivery is cancelled after dispatch and material must be returned, a $50.00 restocking fee applies.
• Special deliveries. Deliveries requiring special handling, such as boulders or other materials that need equipment to move or position, commercial or job-site deliveries with specific requirements, and deliveries with unusual site conditions, are special deliveries. They may require equipment on site, a designated site contact, and advance coordination. Additional requirements are set out in our Special Delivery Guide, provided once your order is confirmed.
• Commercial deliveries. Commercial orders, including orders over 16 cubic yards and recurring material needs, are arranged through our Commercial page and process. Delivery pricing, scheduling, access requirements, documentation, and lead times may differ from residential deliveries, and you must provide an on-site contact name and phone number.
• Natural material variation. Bulk landscape materials are natural products. Color, size, texture, and appearance can vary from photos and descriptions and from load to load, and materials may look different wet or dry. Such variation is normal and is not a defect. Product photos are for reference only. If you have questions about a specific material, please contact us before you order.

Refunds and Returns

US Rock Corporation works very hard to provide our fans with the highest quality products and the best service found nowhere else in the bulk landscape materials industry. We want you to be happy with your purchase, so if something isn’t right, please give us the opportunity to make it right.

Return eligibility depends on the type of product.

For non-bulk items:

• Returns must be made within 30 days of purchase.
• Returned items must be unused and in resalable condition.
• Returned items must not be final sale products.
• A valid receipt or other proof of purchase must accompany the returned item.
• Products delivered as bags, rolls, pallets, or other units may only be returned if authorized by US Rock Corporation.
• Delivery charges are non-refundable once the truck has been dispatched.
• Applicable restocking fees may apply.

For bulk items:

• All dumps are final. Once bulk material has been unloaded, it cannot be returned, exchanged, or refunded. The only exception is a US Rock error, as described under Claims above.
• Delivery fees are non-refundable once the truck has been dispatched.
• If a delivery is cancelled after dispatch and material must be returned, a $50.00 restocking fee applies.

If your purchase was originally paid for with a credit card, any refund will be issued to that card. You may cancel an order at any time before the delivery truck has been dispatched.

Gift Card Policy

Once activated, Gift Cards are redeemable for all products available on the Site and have a monetary value determined at the time of purchase. Gift Cards cannot be redeemed for cash or applied to credit cards or other electronic payment forms. US Rock Corporation is not responsible for lost or stolen Gift Cards. All Gift Cards expire five (5) years after the date of purchase.

Rules of the Road

• As a condition of use, you promise not to use the Site for any purpose prohibited by these Terms and Conditions. You are responsible for all of your activity in connection with your use of the Site.
• You shall not: (i) take any action that imposes, or may impose (as determined by us in our sole discretion), an unreasonable or disproportionately large load on our (or our third-party providers’) infrastructure; (ii) interfere or attempt to interfere with the proper working of the Site or any activities conducted on it; (iii) bypass or attempt to bypass any measures we use to prevent or restrict access to the Site (or to other accounts, computer systems, or networks connected to it); (iv) run any form of auto-responder or “spam” on the Site; (v) use manual or automated software, devices, or other processes to “crawl” or “spider” any page of the Site; (vi) harvest or scrape any content from the Site; (vii) distribute information you know is false, misleading, untruthful, unlawful, or inaccurate; (viii) upload any viruses or other code, files, or programs designed or intended to disrupt, damage, limit, or interfere with the proper function of any software, hardware, or telecommunications equipment, or to damage or gain unauthorized access to any system, data, password, or other information of ours or of any third party; or (ix) otherwise violate our guidelines and policies.
• You shall not (directly or indirectly): (i) decipher, decompile, disassemble, reverse engineer, or otherwise attempt to derive any source code or underlying ideas or algorithms of any part of the Site (including any application), except to the limited extent applicable law specifically prohibits this restriction; (ii) modify, translate, or create derivative works of any part of the Site; or (iii) copy, rent, lease, distribute, or otherwise transfer any of the rights you receive under these Terms. You shall abide by all applicable local, state, national, and international laws and regulations.
• We also reserve the right to access, read, preserve, and disclose any information we reasonably believe is necessary to (i) satisfy any applicable law, regulation, legal process, or governmental request; (ii) enforce these Terms, including investigating potential violations; (iii) detect, prevent, or otherwise address fraud, security, or technical issues; (iv) respond to user support requests; or (v) protect the rights, property, or safety of us, our users, and the public.
• All orders of our products must be for personal or professional use only. If we have reason to believe an order is not for personal or professional use, we reserve the right to reject or cancel it.

Disclaimer

1. You understand and agree that we have no control over, and no duty to take any action regarding:
   • which users access the Site;
   • what effects the content may have on you;
   • what content you access via the Site;
   • how you may interpret or use the content; or
   • what actions you may take as a result of your exposure to the content.
     
2. You release us from all liability related to your acquiring or not acquiring content through the Site. The Site may contain, or direct you to, websites or platforms with information that some people may find offensive or inappropriate. We make no representations about any content contained in or accessed through the Site, and we are not responsible or liable for the accuracy, copyright compliance, legality, or decency of that material. Your interactions with organizations or individuals found on or through the Site, including payment and delivery of goods or services and any related terms, conditions, warranties, or representations, are solely between you and them.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, US ROCK CORPORATION DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES, EXPRESS OR IMPLIED, RELATING TO THE SITE OR ANY CONTENT ON THE SITE, WHETHER PROVIDED OR OWNED BY US ROCK CORPORATION OR BY ANY THIRD PARTY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, FREEDOM FROM COMPUTER VIRUSES, AND ANY IMPLIED WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE IN TRADE, ALL OF WHICH ARE EXPRESSLY DISCLAIMED. IN ADDITION, US ROCK CORPORATION DOES NOT REPRESENT OR WARRANT THAT THE CONTENT ACCESSIBLE VIA THE SITE IS ACCURATE, COMPLETE, AVAILABLE, CURRENT, FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE RESULTS OF USING THE SITE WILL MEET YOUR REQUIREMENTS.

Limitations of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL US ROCK CORPORATION OR ANYONE REPRESENTING US ROCK CORPORATION BE LIABLE TO YOU UNDER CONTRACT, TORT, STRICT LIABILITY, NEGLIGENCE OR ANY OTHER LEGAL OR EQUITABLE THEORY, FOR (A) ANY LOST PROFITS, DATA LOSS, COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SITE, OR DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, COMPENSATORY OR CONSEQUENTIAL DAMAGES OF ANY KIND WHATSOEVER RESULTING FROM: (I) YOUR ACCESS TO, USE OF, OR RELIANCE ON ANY CONTENT PROVIDED THROUGH THE SITE OR ANY ERRORS OR OMISSIONS IN ANY CONTENT; (II) ANY UNAUTHORIZED ACCESS TO OR USE OF THE SITE OR US ROCK CORPORATION’S SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN; (III) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SITE; OR (IV) ANY BUGS, VIRUSES, TROJAN HORSES OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH OUR SITE BY ANY THIRD PARTY (REGARDLESS OF THE SOURCE OF ORIGINATION); OR (B) ANY DIRECT DAMAGES IN EXCESS, IN THE AGGREGATE, OF THE GREATER OF (I) FEES PAID TO US FOR THE APPLICABLE PRODUCTS; OR (II) $500.00.

THESE LIMITATIONS APPLY REGARDLESS OF LEGAL THEORY, WHETHER BASED ON TORT, STRICT LIABILITY, BREACH OF CONTRACT, BREACH OF WARRANTY OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT US ROCK CORPORATION WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Termination

You agree that US Rock Corporation may, at its sole discretion, terminate or suspend your access to and use of the Site (or any part of it) at any time, for any reason or no reason, including lack of use or if we believe you have violated or acted inconsistently with these Terms. We also reserve the right to modify or discontinue, temporarily or permanently, your access to and use of the Site (or any part of it) without notice. You agree that US Rock and its parents, subsidiaries, affiliates, successors, assigns, employees, agents, directors, officers, and shareholders will not be liable to you or to any third party for any modification, suspension, or discontinuance of your use of or access to the Site. If we terminate or suspend your access before a delivery truck has been dispatched, we will cancel any open orders and refund the price of undelivered Products, unless the termination results from fraud. Delivery fees remain non-refundable once a truck has been dispatched. You may close your Account at any time by emailing support@usrock.com, and if we terminate or suspend your access, we may close or suspend your Account as well. Closing an Account does not cancel orders already dispatched or relieve you of amounts owed. Your obligations under these Terms continue even after US Rock terminates or cancels these Terms or your access to the Site. Any provision that by its nature should survive termination, expiration, or cancellation will survive, including, but not limited to, your obligation to pay amounts owed (including standby and restocking fees), the “All dumps are final” rule, the Disclaimer, Limitations of Liability, and Dispute Resolution sections, and the license you granted to US Rock Corporation for your User Content.

Dispute Resolution

We really don’t like disputes (we’re lovers, not fighters, ok?), so let’s do our best to avoid them. Most customer concerns can be resolved quickly, and to your satisfaction, by contacting us at support@usrock.com. In the unlikely event our customer service team can’t resolve your complaint to your satisfaction, this Section governs dispute resolution between us.
These Terms and the relationship between you and US Rock Corporation are governed by the laws of the State of California, without regard to its conflict of law provisions. You and US Rock agree to submit any dispute arising out of or relating to your use of the Site, your purchase or delivery of Products, or these Terms to personal and exclusive arbitration under the rules of the American Arbitration Association. Any such arbitration, to the extent necessary, will be conducted in Los Angeles County, California. You covenant not to sue US Rock Corporation in any other forum.
You also acknowledge and understand that, with respect to any such dispute with US Rock or anyone representing US Rock:

• YOU ARE GIVING UP YOUR RIGHT TO HAVE A TRIAL BY JURY;
• YOU ARE GIVING UP YOUR RIGHT TO SERVE AS A REPRESENTATIVE, AS A PRIVATE ATTORNEY GENERAL, OR IN ANY OTHER REPRESENTATIVE CAPACITY, OR TO PARTICIPATE AS A MEMBER OF A CLASS OF CLAIMANTS, IN ANY LAWSUIT INVOLVING ANY SUCH DISPUTE; AND
• YOU MUST FILE ANY CLAIM WITHIN ONE (1) YEAR AFTER SUCH CLAIM AROSE OR IT IS FOREVER BARRED

Waiver

We take our commitment to our fans very seriously, and we’ll do everything we humanly can for you. However, sometimes things come up that are outside our control. We will not be liable for any failure to perform our obligations under these Terms if the failure results from a cause beyond our reasonable control, including, without limitation, mechanical, electronic, or communications failure or degradation.

These Terms are personal to you and may not be assigned, transferred, or sublicensed by you without our prior written consent. We may assign, transfer, or delegate any of our rights and obligations under these Terms without consent.
Our failure to enforce any part of these Terms does not waive our right to enforce that or any other part later. Waiving compliance in one instance does not mean we will waive it in the future. For any waiver to be binding, we must give you written notice of it through one of our authorized representatives

If a court of competent jurisdiction finds any provision of these Terms invalid, that does not affect the validity of the remaining provisions. Likewise, if we terminate any provision in accordance with the Termination section, that does not affect the other provisions.

These Terms are the entire agreement between you and us with respect to the Site and supersede all previous or contemporaneous agreements. Section headings are provided for convenience only and have no legal effect.
